Job Purpose:
Responsible for providing expert and professional legal advice, solutions and recommendations on legal aspects, as well as organizing and coordinating the activities of the Legal Department, to ensure that all the business operations of the company are in line with the local and international regulations.
Key roles & responsibilities:
- Implement the Legal Department’s policies and procedures and comply with AAW’s other policies.
- Review all contractual agreements of AAW from legal point of view and provide legal opinion, in order to ensure adequacy of the same and alignment with AAW’s best interest.
- Review contracts that involve Joint Ventures, mergers and acquisitions, IPO’s and private placements from a legal standpoint, and recommend their acceptance or rejection.
- Provide advice on all legal matters to protect AAW’s interest by ensuring compliance with all applicable statute, rules and regulations and minimize liability, while highlighting the legal risks.
- Review and examine cases of fraud, embezzlement, theft and damage that might occur within AAW and provide appropriate legal advice in this regard.
- Advice all levels of management from various Business Divisions/Departments on all new developments on legal matters and new applicable laws, in addition to keep them informed about all legislations affecting AAW’s dealings.
- Provide recommendation regarding risk mitigation tactics to the management, based on expertise and research conducted on pending legal issues and risks.
- Liaise with all Business Divisions and Departments to ensure that all legal risks have been identified and prepare necessary action plans to mitigate identified risks.
- Propose, draft and review internal policies and preventive law and compliance policies to reduce company exposure to legal risk and assist with HR matters, compliance matters and the assurance of consistent compliance with company policies.
- Consult with external law firms in order to obtain legal advice where necessary in the following areas:
o Commercial Law
o Regulatory Law
o International Law
- Attend Board meetings and other external meetings required to offer legal opinion on discussed issues, as requested.
- Implement and maintain preventive law strategies, corporate policy and compliance programs to help minimize litigation, third party disputes and other potential project development and implementation problems.
- Keep up-to-date with the new laws and regulation of the country in order to provide the right information to Group Legal Counsel to make sound decisions.
- Review and revise all contracts before final signing and propose appropriate amendments to confirm with AAW's interests
- Perform ad-hoc and other duties related to the job as assigned by Chief Legal Officer and Management.
