-Developing and maintaining a thorough understanding of the requirements of CB regulations related to Corporate Governance. And the CMA bylaws related to disclosure and transparency.
-Developing and maintaining a thorough understanding of the requirements of Boursa disclosures.
-Drafting a corporate governance manual that includes all regulations and rules contained in Central Bank relevant instructions.
-Monitoring the implementation of CG regulation/policies in the bank.
-Ensure that the bank’s policy in regards to corporate governance covers subsidiaries and that those subsidiaries are fulfilling governance requirements.
-Perform CG testing by developing a CG questionnaire to test the bank implementation and evaluate the CG statues and issue annual report to submit to the BCGC.
-Disclosing to Boursa and CMA all material information and responding to media regarding rumors after coordinating the same with GM-CCGD.
-Coordination with the Human Resources Department and other departments as appropriate to develop an effective CG training/awareness programs.
-Drafting periodic report on the status of Corporate Governance in the bank
